FORMAL OFFER for Execution of Feed-Based Services Agreement (hereinafter referred to as the Formal Offer, Agreement).
TLScontact (RU), Limited Liability Company, registered in accordance with the Russian Federation law, represented by its CEO Tatiana Antseva, acting by virtue of the Articles of Association, hereby makes an offer for execution of Fee-Based Services Agreement on the following terms with any individual who meet the criteria set out in clause 1.6 below.
This Formal Offer is an offer of TLScontact (RU), Limited Liability Company (hereinafter referred to as the Contractor, TLScontact) to sign the Agreement on delivery of services (hereinafter referred to as the Agreement) associated with acceptance of visa applications from individuals on the terms as indicated below for the individuals who performed prior registration on the web site TLScontact and wish to obtain a visa from the UK Visa and Immigration Service (hereinafter referred to as the UKVI).
In accordance with Clause 2, Article 437 of the Russian Federation Civil Code, this document is a formal offer; if the terms specified below are accepted, consent for personal data processing is granted to the Contractor and preliminary registration on the Contractor’s web site is performed, the person accepting this Formal Offer shall become the Customer in accordance with Clause 3, Article 438 of the RF Civil Code (acceptance of the Formal Offer shall be equal to execution of the agreement on the terms set forth in the Formal Offer), which shall be unconditionally accepted by the parties.
TLScontact: a legal entity and its individual divisions which were established and operate in accordance with the Russian Federation law.
TLSCONTACT does not have the authority of the Visa and Immigration Services, and also under no circumstances bears responsibility for decisions of the Visa and Immigration Services to issue or refuse to issue a visa, the period for consideration of the visa application, as well as for the request of the Visa and Immigration Services of additional documents and / or Appointment of interviews for a visa at the request of the Visa and Immigration Services.
TLSCONTACT, including its employees, has no right to comment and explain the regulations of the Visa and Immigration Services.
This Agreement applies only to services whose Contractor is directly TLSCONTACT, and does not regulate:
- • services, the executor of which and the payee for which is the Visa and Immigration Service, namely, part of the payment of the visa fee and the service fee for the DNA testing procedure and the service of Expedited Processing (applications not for permanent residence)
- • Expedited Processing (permanent residence);
TLSCONTACT has the exclusive right to all information posted on https://pos.tlscontact.com.
Visa and immigration services are not responsible for the accuracy of non-governmental information on the Contractor’s website.
1.1 These General Terms and Conditions of Sale apply without limitation or qualification to all purchases of additional services or products (“Additional Services” or “Additional Products”) offered by Performer’s website.
1.2 Acceptance - full and unconditional acceptance of the terms of the Offer by the Customer in accordance with Art. 438 of the Civil Code of the Russian Federation by signing by the Consent for Processing of Personal Data and preliminary registration of the Applicant on the Contractor's website.
1.3 Website - an information resource posted by the Contractor on the Internet website.
1.4 Services - the reception and processing of Applications (s) from the Customer, taking of biometric data by the Contractor and the transfer of Applications and biometric data to the Visa and Immigration Services in accordance with its rules and regulations, and also providing an additional services, which are described in section “Added Value Services” on the Contractor’s website
1.5 Visa - a document (s), drawn up (s) on the basis of decision of the Visa and Immigration Service, confirming (s) or restricting (s) the right of entry of a foreign citizen to the territory of a foreign state on the conditions specified in this (their) document (s).
1.6 Customer - an individual who has made the Acceptance, as a result of which the Agreement is considered concluded between this person and TLSCONTACT.
1.7. VIS - UK Visa and Immigration Service, which is part of the UK Department of the Interior. Official website address. Up to the date of registration on the Contractor’s website, Applicant undertakes to become acquainted independently with Visa types, and other requirements and documents are needed for applying the Visa form and other documents for legal staying on the UK territory.
2.1. The organizational procedure for the provision of Services is posted on the TLSCONTACT Website. Acceptance by the Customer of this Offer means that the Customer is properly acquainted with the proposed procedure and completely agrees with it.
2.2. The Contractor undertakes:
2.2.1 In order to fulfill the Agreement, the Contractor performs the following actions:
- • submits to the VIS Visa Applications received from the Customer and a set of documents (if necessary). All information specified in the Application by the Customer is considered complete and reliable and liability for failure to provide any information and / or its absence lies with the Customer. A set of documents is provided by the Customer in accordance with the information posted on the VIS website;
- • carries out the removal of biometric data of the Customer and transmits this data via electronic communication channels VIS;
- • receives passports from the VIS after the application has been reviewed by the VIS;
- • carries out the delivery of passports after consideration of the Applications to the Visa Center at the place of application submission by the Customer and / or to the address indicated by him through the courier service, if this additional service was ordered and paid.
- • informing on the status of consideration of the Application and on the readiness of the Customer's passport to receive, if such a service was paid by the Customer to the Contractor.
- • the provision of other additional services if they were paid by the Customer to the Contractor in accordance with the organizational procedure for the provision of services on the Contractor's website.
2.3. The Contractor has the right:
2.3.1 To refuse to provide the Services in case of violation by the Customer of the payment procedure established by this Agreement.
2.3.2 To attract third parties for the purpose of providing services to the Customer, VIS and other third parties, only if the provision of additional services of the Contractor requires special permits and licenses (mobile operators, courier services). In case of involvement by third parties for the provision of services, the Contractor shall be liable in the amount and within the limits provided by applicable law. Namely, Contractor couldn’t take responsibility on itself for “SMS notification service”, due to delivery of message and it’s terms are depend on cellular service provider and also by the Applicant (being outside the coverage area). For “Courier delivery service” Contractor involves courier service, which has requires permits for implementing carriages and accountable to Customer only within the amounts provided for by the current legislation in the field of cargo transportation. For the loss and / or damage of the passport, the Contractor should pay 15,000 (Fifteen thousand) rubles to the Customer (in case of passport was damaged before Customer has ordered the service, that fact must be marked in the invoice), and also returns the cost of the service provided as improperly rendered on the basis of refund request statement
2.3.3 In case of non-payment by the Customer of the Services, the Agreement is considered terminated at the initiative of the Customer and does not entail legal consequences for the parties.
2.3.4. The Contractor shall not be liable for material damage and / or non-pecuniary damage caused to the Customer in the following cases:
188.8.131.52 In the event of a refusal to issue a visa, an increase in the time for consideration of Applications, non-issuance or untimely issuance of a VIS visa on any grounds in the absence of the Contractor's fault.
184.108.40.206 In the case of the requirement of the VIS to provide additional documents or to call the Customer for an interview.
220.127.116.11 In case of loss of the VIS of the Customer's Passport, as well as its invalidity or non-compliance with the requirements of the Regulations established by the VIS.

188.8.131.52 In case of submitting application and applying in Visa Application Centers in the territory of the Russian Federation not in Moscow and St. Petersburg, VIS has the right to establish a "Mandatory Customer’s Fee", which should be paid on the Contractor's website, according with applying in a specific location. Payment of the "Mandatory Customer’s Fee" in such a location according with Visa Fee, which should be paid directly to the VIS, is binding for the Customer and cannot be considered as a unilateral price change and / or overstatement, since the coefficient is applied in connection with the quantity of applicants and living population for service and the Contractor's ability to organize enrolment of applications from the Customers in such locations.
2.3.5 The Contractor has the right to sell the goods and / or Services provided on the Contractor's website. The price of goods and / or services, as well as their description should be indicated on the website.
2.4. The customer undertakes:
2.4.1 Applicant undertakes to become acquainted with these conditions before starting of using the services, its payment on the Contractor’s website and acceptance of terms of this Offer.
2.4.2. Make payment for the Services in accordance with the terms of this Agreement and the organizational procedure for the provision of services (clause 2.1). At the same time, hereby Contractor draws attention to the fact that prices and terms of payment are indicated on the Contractor's website
2.4.3. Independently, on their own and at their own expense, to collect the documents necessary for obtaining a Visa.
2.4.4 Timely provide all the necessary reliable information and genuine documents for the provision of services about him and about the persons to whom the services will be provided according to the application of the Customer. Refusal to provide the Customer’s passport and Application may be considered as termination of the Agreement at the initiative of the Customer. The customer is fully responsible for the accuracy of the information provided by him.
2.4.5 Provide the Contractor with accurate and reliable information about his postal address, phone number, e-mail address, as well as other information necessary for the Contractor for operational communication with the Customer.
2.4.6 On the premises of the Contractor's visa centers, which addresses are indicated on the Contractor’s website, to observe the rules for staying at the visa center provided for by this Offer. Additional rules not provided for by the Offer may also be brought to the attention of the Customer by the Contractor’s staff. Instructions of the Contractor’s employees, including but not limited to compliance with the access control regime, the rules for staying at the visa center, the rules for submitting documents and obtaining passports, are binding on the Customer. In case of failure to comply with such instructions, as well as non-compliance with these rules, the Contractor has the right to refuse the provision of Services to the Customer. Due to the fact that the Object - Visa Center is a place of mass stay of people, for security reasons, the Contractor reserves the right to refuse service and admission to the territory of the Visa Center for persons under the influence of alcohol and / or drugs, as well as in the event of aggression and / or other forms of behavior which gives reason to believe that the applicant may hurt other applicants, employees of the Visa Application Center and / or the property of the Contractor. In case of violation of public order, the Contractor has the right to call law enforcement officers to resolve conflict and / or disputable situations.
2.4.7 Get acquainted with this Offer, the rules of staying in the visa center. By accepting the conditions of the Offer, the Customer loses the right to refer to ignorance of the conditions of the Offer, the rules of staying in the visa center.
2.4.8. Observe the access control regime established in the Visa Application Center. The customer is obliged to get acquainted with the list of things that are prohibited for carrying to the territory of the visa center. To enter the territory of the visa center, the Customer must go through the metal detector frame. In the event that the Customer carries carry-on baggage and other baggage, the Customer, at the request of the security personnel, opens and displays the contents of the carry-on baggage or other baggage carried with him. If the Customer refuses to view hand luggage or baggage, the Customer must leave them outside the territory of the Visa Center. In case of refusal of the Customer to view hand luggage or baggage, as well as a refusal to request to leave hand luggage or baggage outside the territory of the Visa Application Center, the Contractor has the right to refuse to perform services to the Customer in order to ensure security.
2.4.9 Photo and / or video shooting are prohibited on the territory of the visa center. In case of violation of this clause, the Contractor has the right to make the Customer warning about violation of the rules of staying at the Visa Center, and in case of photo or video shooting, ask to immediately delete the photo or video. In case of repeated violation, the Contractor has the right to ask the Customer to leave the territory of the Visa Center on the basis of a violation of the rules for staying at the Visa Center.
2.4.10. While you are on the territory of the visa center, you should not eat and / or drink alcoholic and non-alcoholic drinks, with the exception of those offered at the Visa Center.
2.4.11 To obtain passport in person or to authorize another person for obtaining his passport, that is, at his own expense and on his own to perform all necessary actions to authorize and delegate to another person the right to obtain a passport.
2.5. The customer has the right:
2.5.1 Get acquainted with the progress of the provision of the Services.
2.5.2 Receive information on the procedure for the provision of services from the Contractor.
2.6. The obligation to provide the Services arises from the Contractor from the date of visiting the Visa Application Center and submitting biometric data, and in the case of providing additional services, from the date order and payment of additional services.
2.7. The obligations of the Contractor under this Agreement are deemed to have been duly fulfilled regardless of the outcome of the VIS review of the Customer's Application.
2.8. The Contractor is considered to have properly fulfilled all obligations under this Agreement from the date of return of the passport to the Customer after the VIS has considered the Visa Application. If the passport has been handed over to the VIS by the Contractor and has not been returned to the VIS Contractor, then the Contractor is not responsible for the non-return and / or deduction of the VIS passport.
3.2 During the application process, the Customer agrees to provide reliable information, including, but not limited to, personal data. TLSCONTACT is not responsible for the accuracy of the information provided by the Customer.
3.3 Any personal information provided on this Site is used solely to process the Customer's visa application.
3.4 The Customer has the right to change and correct personal data until the moment of submitting biometric data, both on the Contractor’s website in his personal account and when submitting the Application, for which the Customer needs to make corrections to his data with his own hand, assuring himself with his own signature in the printed Application, on the basis of such a correction, the Contractor makes changes or additions to the electronic systems and transmits the VIS Application with the changed and / or corrected personal data of the Customer. After the Customer has submitted biometric data, no changes or corrections to the Application can be made.
3.5 The information provided becomes available to the VIS.
3.6 During the Application submission procedure, personal information can be transmitted by the Contractor through cross-border transfer of personal data via electronic communication channels for backup and for storage on the Contractor's backup servers abroad, for security purposes when applying for a visa, as well as to avoid loss data. This type of transmission is performed using a secure protocol and Secure Sockets Layer (SSL) encryption. All saved files, including those stored on the Contractor’s backup servers abroad, are encrypted. No copies, in any format, are stored. Consent of the Customer, therefore, refers directly to the transfer of personal information.
4.1. The customer registering on this Site independently is responsible for keeping passwords secret.
4.2 The customer is fully responsible for any use of his accounts.
4.3 Upon detection of any unauthorized use of accounts and passwords, the Customer shall immediately inform TLSCONTACT of this by sending the message.
5.1. Any information received (physically or electronically) by TLSCONTACT during the processing of a visa application is destroyed at the time agreed upon with the VIS under the concluded and current agreement with TLSCONTACT for receiving and processing visa applications, but in any case no later than after 30 (thirty) calendar days from the date of return of the passport to the Customer, except of the information necessary in accordance with the law of the Russian Federation to confirm the fact of the provision of services and the legality of the processing of personal data by Contractor. At the same time, Contractor uses the information that is necessary in accordance with the law of the Russian Federation to confirm the fact of the provision of services and the legality of the processing of personal data by Contractor, containing personal data, only for archiving purposes and only for the period established in the Civil Code of the Russian Federation.
6.1 TLSCONTACT does not store personal information (physically or electronically) relating to the Customer longer than for the period of time necessary to provide the Services.
6.2 TLSCONTACT does not sell or transfer Customer information to third parties.
6.3 TLSCONTACT reserves the right to make additions or changes to this Agreement at any time.
6.4 TLSCONTACT undertakes to ensure the safety of Customer's personal data and to comply with the laws and regulations on the protection of personal data of the Russian Federation. TLSCONTACT provides for VIS access to personal information collected for the purposes of visa applications.
6.5 Any personal data available to TLSCONTACT is processed and stored in accordance with the current law of Russian Federation in the field of personal data protection, as well as international regulatory legal acts ratified by Russia in the manner prescribed by law.
7.1 The Customer pays for the Services in the amount stipulated by the terms of this Agreement, and in accordance with the organizational procedure for the provision of services (clause 2.1).
7.2.1. The customer pays the visa fee and /or service fee for the DNA testing procedure in the amount established by the VIS through online payment on the VIS website: http://www.gov.uk or http://www.visa4uk.fco.gov.uk. VIS is the recipient of money for paying the visa fee.
7.2.2. The Customer pays for additional services indicated on the Contractor’s website in any way available on Contract’s website and in the territory of Visa Application Centre. Making the payment, Contractor complies with the requirements of the current law of the Russian Federation. Payment via bank card occurs through the authorization server of the Processing Center with using:

- • MasterCard Worldwide
- • MIR
7.3 The procedure for the provision and payment of additional services is indicated on the Site.
7.4 Payment of a visa fee and / or payment of additional services is not a guarantee of obtaining a Visa. When making a decision by the VIS on the refusal to issue a Visa, the refund paid in accordance with clause 7.2.1.-7.2.2. no fees are charged. The visa fee can be returned only to VIS by requesting a refund for this Application in the Customer’s personal account on GOV.UK or visa4uk or if the return function is not available in the Personal Account by sending a message on the VIS website.
7.5. Paying for additional services, the Customer confirms his knowledge of the composition and procedure for the provision of these Services, and also expresses his consent to use the paid services.
7.6. The Customer agrees that the issuance of a Visa under no circumstances is the result of the provision of the Services. Consequently, the refusal to issue a Visa is not an improper performance by the Contractor of the terms of the Agreement.
7.7. The Customer agrees that for some Services ( mobile biometric service f.e.) the final cost of the Service cannot be calculated in advance, since it is calculated on the basis of the expenses incurred by the Contractor to provide it, including transportation costs to the place of service selected by the Customer, the number of Applicants.
8.1. The Customer agrees that the refund in case of cancellation of the paid Services is carried out only in respect of funds received by TLSCONTACT. Funds received by the Visa and Immigration Services are reimbursed by the service in the manner prescribed by the rules and regulations of the VIS.
8.2. Refusal to issue a visa or withdrawal of a visa application after it has been submitted to the Service is not grounds for a refund to the Customer.
8.3. The Customer has the right to refuse the Services at any time before the start of provision with a full refund of the funds paid by the Customer. Refund of the cost for the Services is made only if Customer paid for the specified Services. Refunds are made in the same way as the payment for the above Services was made. If payment for services was done with the bank card on Contractor's website, the refund is made by transferring funds to the bank card buyer used to pay the services in a period established by law. The term for crediting funds to the buyer's bank card account depends on the bank of the card issuer and is determined on 30 calendar days.
8.4 TLSCONTACT undertakes to return the money paid by the Customer for the Service already provided, if the latter has documented evidence of improper provision of services for receiving and processing visa applications.
8.5 The customer has the right to refuse the service at any time before the start of its provision by prior notification to TLScontact about his refusal. The deadlines for notification depend on the type of Service:

Applicant has the right to independently decide which of the accompanying documents will be attached to the visa application form according with the requirements posted and established by t VIS. At the same time, employees of the Contractor are not entitled to comment and clarify VIS regulations||Since the scanned document is loaded onto the VIS platform|
|Extended Passback Hours||The service allows for Customer to pick up the passport from the relevant Visa Application Center outside the office hours of Passport Collection department||By choosing to receive a passport in the evening after the closure of the passport collection department of Visa Application Center, Customer must notify the Contractor no later than the end of the working day chosen to receive the passport||If Customer fails to notify the Contractor within the specified time period, TLSCONTACT does not return the paid funds to the Customer due to the need to cover the costs incurred in connection with the administrative and organizational procedures for the provision of the Service|

The service assumes that the employee will record the oral answers of the Customer and enter the data in strict accordance with the information voiced by him. Please note that employees are not entitled to give customers advice on answering the questionnaire||Customer must notify the Contractor about cancellation of Service before starting the visa application process at the Visa Application Center on the day of submission|
|Photocopy||The service allows Customer to make copies of the documents submitted with the visa application in Visa Application Center||Customer must notify the Contractor about cancellation of the Service before the start of the process of copying documents at the Visa Application Center|
|Flexi Appointment||The service allows the Customer to apply for a visa in Visa Center any time without an appointment||Before the enrollment of biometric data, service is considered actually provided in full after processing of personal data - biometric is completed||If service was purchased in conjunction with "Scanning Documents at the Visa Application Center", the refusal is possible only until the start of scanning any of the documents and uploading such a document on VIS platform|

|Notary Assistance||Contractor provides and organizes the certification of documents by a notary. To certify copies of documents - the originals of documents must be presented to a notary. To certify the signature on consents and / or other documents, the presence of a person is required, whose signature is certified with the presence of an original identity document||The customer has the right to refuse translation services any time||Contractor has the right, in the event of the Customer's refusal from the Notary Assistance services, to hold part of the funds in proportion to the services actually rendered, while simultaneously providing the Customer with partially rendered services|

8.6 In selling goods by Contractor, the Customer has the right, within 14 (fourteen) calendar days from the date of purchase of the Goods, to return the Goods, subject to the following conditions:
1) the product is all in one piece and wasn’t used;
2) Customer has a cash register and / or sales receipt
9.1. All disputes and disagreements arising in connection with the fulfillment of the terms of this Agreement shall be resolved by the parties through negotiations.
9.2 In everything else that is not expressly provided for by the terms of the Agreement, the parties are guided by the provisions of the current legislation of the Russian Federation.
9.3 This Agreement is made in the Russian Language.
10.1 This Agreement shall enter into force on the date of acceptance by the Customer of this Offer in accordance with clause 1.2 of the Agreement and is valid until the parties fulfill obligations under this Agreement.
10.2 Any changes and / or additions to the terms of this Agreement are made by posting of a new version of Offer on Contractor’s website.
10.3 Termination of the Agreement is carried out on the grounds stipulated by the current legislation of the Russian Federation.
